The Processor and RAM are just fine for a mediocre-performance but the MX 400, that'll create more lag than good on Vista. Yes you can run it but you won't like the performance it gives.

You can run Vista but don't expect it to run super smooth or run without any glitches. No aero effect and prolonged start up and shut down times.
You should increase your RAM which is the cheapest upgrade you can do.And maybe a new graphic card for all the eye candy.

Get the Fx5200, it's the cheapest and the best among the cheapest Vista based solutions available. Good luck finding it though..

And about the Ultimate part, you'll hardly be able to enjoy all that it gives

Or maybe get a new mobo with ddr2 and PCIe support and good onboard graphics.ddr2 RAM is much cheaper and far better than ddr RAM and he can later add a dedicated graphic card(PCIe).AGP cards are not only difficult to find nowadays but also are much costlier than their PCIe counterparts.

No way Vista will run on a 64 mb video card
Fx 5200 will cost around 2k (128 mb version). But as QwertyManiac said,Good luck finding it.RAM will be a problem too.It will be like running XP on 64 mb RAM.All eye candy disabled.

6200 is better than 5200 but it is a very crappy card, sharing RAM for performance with that TurboCache feature of it. Still, get whichever 5 series and above (6,7) AGP you can. That's all you can do.

But if you need no eye candy, why even go for Vista? Won't XP suffice?
