Angry Net & MB turn on me

Hello guys, just revived my machine to post this. i have the most peculiar problems.

1.I have 2mbps net conexion. whenever i download with dap premium or utorrent i get about 185-195kByte/s which is about 1.8mbps right?. but it takes about 2-3 mins to load just a webpage and the link light / data light of the modem goes off and often redials 3-4 times when just browsing pages(slower than 56kbps dialups). as soon as downloading any file atleast 5mb size (the bigger the better) starts there is no problem.its getting really annoing/ages just to google something.(i always clean temp files int files cookies defrag etc.) whats the problem - pc/net??
winxpsp3 amd 1gbram nvidia onboard.

2. My msi motherboard ms7207, started showing usb device not recognised error every time when there was nothing connected to any usb ports. then it some times refused to power up ie. after the power and hdd lights come on (starts to boot) it just shuts down and the power light comes on and off every few seconds. i cheked every thing from ram to proc to smps to dvd to ups(yes)-all fine.this problem cropped up most times i switch on , sometimes boots ok, but switches off after some time, -after repeated attempts it finally works. then one fine day it stoped powering up completely- sent to waranty-got after 1.5 month(does it take that long ?). now it was working perfectly until after a week the same symptoms started to crop up 1by1. if i have to give to waranty it will take another 1-1.5 month(my net conexion has minimum 3 month hire period ,1month got wasted, another month!@#$ no way) pls digit brainiacs - help meee

1>I'm clueless how that can be? May be others can help u.

2>Chek ur earthing connection for that plug point. It may happen that frequent voltage fluctuations have killed ur SMPS.
