Help needed regarding Youtube..... Urgent Pls?

Hello,
I want to do this

Download Videos from Youtube.com

Embed a Logo or Company Names onto it

& Upload it to Youtube.com again

Pls can someone tell me the Step by Step details on how to do this

I search forum but cant understand

Let me tell you my experience

I download 3 sofwares - Virtualdub, Kingdia Software & Movavi VideoSuite
& started doing this

Downloaded Videos from youtube using firefox browsers plugin
it was a .flv file (its size was 20mb)
So now i converted it into mpeg using kingdia (its size was now 62mb)
now i used virtualdub to write my friend's company name onto it
than I saved it into .avi format (now its size was 1.2GB)

now i open kingdia again & converted it into .avi (its size was now 132mb)

Now I used movavi to make it into Youtube.com compatible (its size was now 45mb)

oops

it wasted my whole day & time, & my harddisk space

Pls can you tell me a Simple & Short method to do this
No matter if their is any paid software
My friend need to do this for his company so he will pay for the Software

Pls help...............
