what is "wuauclt.exe"?

Can any one tell me what is this process related to "wuauclt.exe".In the task manager it is there any consumes a much memory.

wuauclt.exe - This is used by the automatic update tool in Windows ME to check the Windows Update site every so often to see if any updates need to be installed.
In other cases, wuauclt.exe is a virus, spyware, trojan or worm! So i suggest u scan yur system properly with all the anti-virus,spyware, etc. u have.

I am using Win XP SP2.Does it have any relation with this OS.

u can use "Process Explorer NT" to get detailed info abt every task running.
