Default convert files and retain quality

i have certain videos in .mpeg and .mpg and i want to convert them in to .avi tht is xvid .. hw can i do tht .. wid wich software

Install XViD codec, and download Virtualdub (freeware).
Run Virtualdub, open the movie to convert, choose XViD codec from Menu>Video>compression dialog box, and choose File>save as avi. For download links, use google.

Install K-lite codec pack. Use virtualdub
