Yes.You should upgrade if you are owerclocking & adding a new gfx card.
Look for Zebronics 500W PSU. It should be sufficient.

Question Re: PSU for my PC...

Hi! I've got a similar question. Here is my specs:

AMD Athlon 64 3200+ Socket 939
MSI RS-480M2 motherboard
1x512MB DDR 400Mhz RAM
160GB Seagate SATA+40GB PATA Western Digita HDDs
LiteOn DH-20A1P DVD burner
Samsung Combo drive
Keyboard and mouse

I got a 350W PSU on this system. I got a XFX 8600GT XXX edition as a gift recently I would like to know if I need to upgrade the PSU. I'm thinking of buying additional 512MB RAM. I can either go for the RAM or the PSU as I don't have sufficient pocket money So, PSU or RAM? If PSU, which one? I've got Rs.1000 as budget. So, RAM or PSU, again?

^That won't be 800W.
Clearly overated.
Don't buy it.
