Unhappy Sound card woes

I have an AMD 3200+ 2.0 GHz processor on a Gigabyte MB with 512 MB DDR400 RAM. I have a CMI8738 sound card. Whenever i restart my PC, it restarts. However if i remove my sound card, my PC shuts down normally. Is this due to outdated drivers??? If yes, then where can i get the latest driver?
