Default Help me identify the prob....motherboard?

hai guys i'm confused about wat is going on in my sys...
my sys specs,
intel c2d e7200,
asus p5qpl-am,
500gb hdd,
2gb ddr2 667mhz ram,
msi hd 4870.
my sys is not shutting down when i give shutdown instead it just restarts...i thought the prob is in ram and bought a corsair xms2 2gb 800mhz ram, system doesn't boot when i install this ram.....but boots well with old ram sticks....updated the bios to latest available, reinstalled os stil no clue of wat is wrong...
problem existing:
1.system restart even when turnoff is given(with old ram sticks)
2.system doesn't even boot with new ram..
any 1 throw sum light on this,i'm pretty frustrated...

also my mobo is brand new, recently RMA'd,got this as a replacemnt for p5kpl-cm from RASHI

Try to rewire the system again. Which PSU you have.

Check if the PSU is working fine. Else it might be a mobo problem.
Rashi is BTW well known for their poor service. The board they have given might be an old repaired board.
Did u check the board while bringing.
