Please put a larger photo. I think you copy pasted thumbnail version.
Disable Page file.YOu have probably upgraded from 2 gigs of RAM and hence Page file isnt showing more .You will get 4 gb full. Otherwise increase page file to 4 gb if you dont want to disable.
I think your onboard GPU is using RAM. Try reducing that much from BIOS

^^
How will disable / enable of the page file affect this..? Anyways page file is 1.5 x total hardware RAM.
Try a reseat, of the DIMMs. Also what is CPU-Z reporting.

Re: RAM problems in win 7 x64..help needed asap
remove both ram modules and try them one at a time, one of them might have become defective!

Either a module is dead/dying or not seated fine.

Your Mobo is defective AFAIK. Because as it starts in 4 to 5 times then I think it tries to recognize your RAM but unable to do so. Try these on someone else's PC and see what happens.

Re: RAM problems in win 7 x64..help needed asap
I think it may be a mobo problem or Its a module problem.
Try using your pc with individual modules.
Whever the pc refuses to boot that stick is defective.

Re: RAM problems in win 7 x64..help needed asap
Go to the screen resolution adjustment screen. Then click 'advanced settings'.In the appeared box, check the amount of shared memory.
Sharing of 3GB of RAM is very unlikely but still just check.
