for your work Athlon II X2 240 is sufficient
but you should consider Athlon II X2 245 2.9GHz @ 3.1K or Athlon II X2 250 3GHz @ 3.3K
these both are priced very very close to 240

for simple work, X2 240 is best suited. low cost & good speed. if u want more speed, simply OC the proccy to 3Ghz. & it'll still run as cool.

well theres no risk at all. a 200 bump in speed will never posses any risk, if cooling is maintained at stock level. still if the price diff is only 300 bucks, 250 is a good proccy as well.

well, PSU doesn't keep proccy cool. its the heatsink. most probably your old proccy went kaput cause dust filled up & slowed down the fan badly, allowing proccy to heat up to dangerous level. a good PSU will give stable power to your cpu, so they got longer life. if you sure you will not add a graphics card in future, 350W from FSP or 400W from VIP good buys.

yeah dont get afraid of overclocking
u just have to be in limits
start with small increments
check the temperature side by side
u can easily bump it upto 3.1 to 3.2ghz
or else go for 250 if the price diff is that low

If the the price of X2 250 3K then it would be a better CPU for gaming.
But for Rs.300 difference X3 425 is overall better for multitasking.....

bargain & get X3 425 @ 3.5k + FSP Saga II 350W @ 1.5k or its alternate VIP Gold 400W @ 1.5k. don't get Zebronics PSU. they unreliable. but your motherboard will need a BIOS update. else it may not boot with the new Athlon II processor.

& the IGP onboard your mobo is still in Top 10 IGPs. no need of adding graphics card if you don't game. its just seriously wastage of money.

the new X2 250 is on C3 stepping, maybe. means more OC potential. should reach 3.7Ghz if ram & Mobo permits & of coarse heat doesn't obstruct.

my vote is FSP Saga II 350W. as FSP is OEM of many good reputed PSU manufacturers like Gigabyte & others, their products will be better than VIP. also VIP is an Indian company.

i think it'll need. it was a AM2+/AM3 mobo. not AM3 only. so bios update maybe needed. if so, just update it through the inbuilt BIOS update utility. however if it boots up won't any problem, you mayn't update it.
