This has been asked and posted several times..just scroll down & see. Currently there exist lot of freewares that does the conversion..dont go for paid ones and promote them.

For converting video files to mp4 for my iPod I have mp4Mobile. You can try it too. I use it about year and it good creates my video with good quality.
