here are my benchmarks of 4200+(939) overclocked. If u choose AM2 one, its more cooler nd performs better than 939 counterparts. So it can be better overclocked than the 939 proccys.
see the benchs.

So an oced 4200+ is not that less than a top line c2d.

@aravind_n20 : And if u still say that ur oc'ed X2 4200+ can put up against this .. then ur blind .. and my CPU ain't in the top line either ...
But again ... these are merely artificial benchmarks .. Intel maybe manufacturing performing CPU , but AMD still gives a better price-performance ratio .. but if ur going to invest in a new CPU then go for the Core2 Duo line-up ofcourse ... since it can be oc'ed much more than any Athlon64 X2 can go .. with better performance ofcourse ...
I'd simply suggest u to go with a E4300 , along with a Gigabyte DS3 or DS3P mobo ..
And as for performance .. the E4300 should actually be much better than a stock X2 4200+ .. and if u did have plans to oc the X2 4200+ , then u can do so with the E4300 too , and attain much better results ... Also , infact some games do run better on Intel (like Gothic 3 , R6 Vegas etc. etc.) ... so u'd be in good hands here too ..
NOTE : Except 3DMark and SuperPI , for the rest i had Winamp , uTorrent , Yahoo Messenger and Gtalk running ..
Also , the P965 chipset doesn't let u set 1T CR for the memory , so it was running at 2T ... and ofcourse the mem. bandwidth will increase quite a bit with 1T :( ..
