Well, E7xxx does not support intel virtualisation technology.
Meaning no 64bit virtual PCs for you.
Are you OK with that ?
If so, upgrade away, since E7200 and other 45nm processors DO support P35 chipset. (G31 is a toned down version of P35 plus 3100 gpu).

AND, btw, have you ever considered overclocking as an option for your current setup ? If I remember right, there is this software from ATI for ATI card owners which functions similar to nTune allowing an easy OC.
