NOD32 is really not resource hungry as any other paid AV. It will just run in the background and you will probably would not even notice that.
Your configuration will do just fine with NOD32. BTW Norton AVs are indeed resource hungry and thus I do not recommend them.
U can use NOD32 v3 with either Win 2000/XP or Vista. So no further upgradation is needed.
